These Terms and Conditions ("Terms") govern your access to and use of the LIFE AI website (www.lifenetwork.ai), the LIFE AI mobile application (if applicable), and Premium Services (collectively, the "LIFE AI Services" or "Services"). By accessing or using the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you disagree with any part of these Terms, please discontinue the use or access of LIFE AI Services immediately.
In these Terms, the words "we", "our", "us" and "LIFE AI" refer to Genomica Pte. Ltd.
You must be at least 18 years old or the age of majority in your jurisdiction to register and use the Services. By accessing LIFE AI Services, registering as a user, and using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements and you agree to follow all the terms and conditions of the agreement.
2.1. You will need to register an account to access the full benefits of the Services.
2.2. You confirm and guarantee that all the registration information you provide is true, accurate, current, and complete to the best of your knowledge and belief.
2.3. You are responsible for maintaining the confidentiality of your account information, including your username and password. You are also responsible for all activity that occurs under your account.
2.4. We reserve the right to deny your account application, suspend your account usage, or terminate your account without prior notice if you violate these Terms or for any other reason at our sole and absolute discretion.
3.1 Our Services
LIFE AI provides services and products focused on DNA data management, health and lifestyle optimization, and advancing scientific research. Our services include:
3.1.1 LIFE AI Platform (Web base & App): A decentralized blockchain ecosystem that allows users to securely store, manage, and control their DNA data. Key features include:
a) Secure and encrypted DNA storage
b) Self-sovereign data management
c) GeneNFTs for authenticated data ownership
d) Support for DNA-related decentralized applications (dApps)
e) Exploration and use of personalized applications
f) Health and lifestyle dashboard
g) Participation in research
3.1.2. LIFE Marketplace: A marketplace for health and genetics-related products and services, including:
a) Genetic testing services
b) Personalized health products
c) Health and nutrition consultations
d) Third-party applications and services
3.1.3 VIP Pass
LIFE AI offers VIP services that provide access pass holders with exclusive features and benefits. VIP access pass holders enjoy the following privileges:
a) LIFE Community: VIP users receive access to exclusive features within the LIFE AI VIP Community. This community consists of individuals who are rich in health, knowledge, and financial resources.
b) LIFE Market Privileges: Exclusive discounts of up to 70% and early access to products and services available on the LIFE Market.
c) Community Governance: VIP users have the opportunity to participate in decision-making processes related to the development and direction of the LIFE AI platform, allowing them to shape the ecosystem's future.
d) Development Support: VIP access pass holders receive premium tools, documentation, and dedicated support for building and growing their communities within the LIFE AI platform.
e) Access VIP Pass Terms: Users can enjoy VIP Services through an annual access pass. For the most up-to-date fee structure, please consult our VIP Pass portal.
f) Loyalty Program & Community Engagement Rewards
LIFE AI offers a Loyalty Program to reward our dedicated users who contribute positively to the LIFE AI community. Users who help strengthen the LIFE Community may receive Community Engagement Rewards.
Rewards will be distributed based on decisions made by the Community Governance through a DAO voting mechanism.
Users earn Loyalty Points, namely LIFE Points, based on user rewards or engagement with the platform and the duration of their access pass.
LIFE Points can be redeemed for discounts on VIP Pass renewals, exclusive content, personalized AI consultations, or products in the LIFE Market.
By purchasing our VIP Services Access Pass, users agree to comply with all applicable terms and conditions related to these premium features. LIFE AI reserves the right to modify, enhance, or update the VIP Services offerings to ensure continued value for our access pass holders.
3.2. Payment of Fees and Taxes: You are solely responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges, and additional charges that arise from or as a result of your use of LIFE AI Services.
4.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. During the use and access to LIFE AI Services, you agree not to use the Services:
4.2. In the event of non-compliance with Section 4.1, we reserve the right to terminate or restrict your access to part or all of LIFE AI Services for any reason at any time without prior notice.
The Services and all content and materials included within the Services, including text, graphics, trademarks, trade names, logos, icons, images, video, audio, software, and other materials ("Content"), are the property of us or licensed to us by third parties. All rights are expressly reserved. You may not use any Content without our prior written permission.
When you use LIFE AI Services, we may need to collect your personal data in order to provide you with our services. By providing us with your personal data, you are giving your consent for us to collect, use, process, and disclose that data in accordance with our Data Privacy and Personal Data Protection Policy.
7.1. You acknowledge that the information provided through LIFE AI Services is for general informational purposes only and should not be considered as surgical or medical advice or recommendation. Please verify the information on LIFE AI Services and consult with a medical professional that is relevant to your specific circumstances before relying on it.
7.2. LIFE AI Services, including any platform applications and site content, is provided "as is" and "as available" without any warranty of any kind, either express, implied, or statutory. We do not make any warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.3. We and any content owner do not warrant that the LIFE AI Services or content is free from malware or other harmful components.
7.4. We make no representation or warranty regarding, and disclaim all liability for, any third-party applications (or the content thereof), user content, devices, or any products or services advertised, promoted, or offered by third parties on or through LIFE AI Services or any hyperlinked website, and LIFE AI shall not be responsible for any transactions between you and any third-party provider thereof.
7.5. No advice or information, whether oral or written, obtained by you from us or through LIFE AI Services shall create any warranty on behalf of Genomica Pte. Ltd.
7.6. This section applies to the fullest extent permitted by applicable law.
8.1. Subject to applicable law, you agree that your sole and exclusive remedy for any claims or dissatisfaction with the Services is to uninstall any LIFE AI software and cease using the Services. You agree that we shall have no liability or responsibility arising from or related to third-party applications or application content provided through or in connection with the Services, and while your relationship with such third-party applications may be governed by separate agreements with such third parties, your sole and exclusive remedy, as to us, for any claims or dissatisfaction with any such third-party application or third-party application content, is to uninstall or cease using such third party application.
8.2. IN NO EVENT WILL LIFE AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR (1) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (2) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT) ARISING FROM IN ANY WAY OUT OF THE USE OF OR INABILITY TO USE THE LIFE AI SERVICES, THE DEVICES, THIRD-PARTY APPLICATIONS, OR THIRD-PARTY APPLICATION CONTENT, UNDER ANY LEGAL THEORY OF LIABILITY; OR (3) THE AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE LIFE AI SERVICES, THIRD-PARTY APPLICATIONS, OR THIRD-PARTY APPLICATION CONTENT EXCEEDING (A) THE AMOUNT OF FEES YOU PAID TO LIFE AI SERVICES IN THE TWELVE MONTHS PRECEDING THE FIRST CLAIM OR (B) THE CURRENT ANNUAL FEE FOR THE VIP ACCESS PASS, WHICHEVER IS GREATER.
8.3. TO CLARIFY, THESE TERMS DO NOT LIMIT OUR LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH, OR PERSONAL INJURY TO THE EXTENT THAT APPLICABLE LAW PROHIBITS SUCH A LIMITATION AND FOR ANY OTHER LIABILITY THAT APPLICABLE LAW MAY NOT PERMIT TO BE LIMITED OR EXCLUDED.
8.4. EXCEPT TO THE EXTENT THAT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF THESE TERMS MUST BE COMMENCED (BY FILING AN ARBITRATION DEMAND OR SUBMITTING A COURT ACTION UNDER THE ARBITRATION AGREEMENT BELOW) WITHIN ONE (1) YEAR AFTER THE DATE THE PARTY ASSERTING THE CLAIM KNOWS OR SHOULD HAVE KNOWN OF THE ACT, OMISSION, OR DEFAULT GIVING RISE TO THE CLAIM; AND THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT PERIOD.
To the fullest extent permissible by applicable law, you agree to indemnify, defend, and hold harmless we, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, losses, damages, liabilities, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any user content, any third party applications, software or content you post or share on or through LIFE AI Services, your use of the Service or the Site, your conduct in connection with LIFE AI or with other users of LIFE AI, or any violation of this Agreement or any law or the rights of any third party.
We may terminate your access to the Services at any time, with or without cause, and with or without notice. You may also terminate your account and VIP Pass access at any time (subject to the cancellation terms outlined in Section 3.1.3).
By visiting or using LIFE AI Services, you agree that the laws of the Republic of Singapore will govern these Terms of Use and any disputes that may arise between you and LIFE AI Services or its Affiliates. This means that the legal framework and regulations of Singapore will apply to your use of the network and any related issues. In case of any disputes or claims that are not subject to arbitration, you agree to only pursue legal action in the courts of the Republic of Singapore. You also waive any defenses related to lack of personal jurisdiction and forum non conveniens, giving consent to the jurisdiction and venue of the Singapore courts.
By accessing LIFE AI, you agree that any disputes or claims arising from these Terms of Use will be resolved through final and binding arbitration, except in cases where you have infringed or violated Genomica or LIFE AI's intellectual property rights. In such cases, injunctive or other appropriate relief may be sought.
The arbitration will take place in Singapore and will be conducted in English, following the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules), unless these rules conflict with the provisions outlined in this section.
The arbitral tribunal will consist of one arbitrator, who will be appointed by mutual agreement between you and LIFE AI. The decision or award made by the arbitral tribunal will be final and binding, and it may be enforced in any court with jurisdiction.
You are expected to maintain the confidentiality of the arbitration proceedings, including all information, pleadings, documents, and evidence related to the arbitration process.
These Terms constitute the entire agreement between you and LIFE AI with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
We may update these Terms from time to time with a notification on LIFE AI for an appropriate duration following the change. Each time you use LIFE AI, you acknowledge and agree that the latest version of these Terms shall apply.
If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) LIFE AI. It is your responsibility to regularly check LIFE AI to determine if there have been changes to these Terms of Use and to review such changes.
By using our Services, you agree to comply with all applicable terms and conditions, as well as any guidelines or policies published in relation to specific Services. LIFE AI reserves the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.
